Represented a syndicate of 40 Korean lenders and the mandated lead arrangers (Kiwoom Securities, NH Investment & Securities, NongHyup Bank and Kookmin Bank) as lenders in the acquisition financing of IMM Private Equity’s W1.7 trillion ($1.2 billion) buyout of Korea’s leading waste-management company, Ecorbit, from KKR and Taeyoung Group, Korea’s largest M&A transaction of 2024. 

Represented Standard Chartered Bank (Hong Kong) as the Korean counsel in the secured financing of HMM’s acquisition of nine second-hand bulk carriers through a $270 million bareboat-charter hire-purchase structure, structuring a novel nomination arrangement that allowed HMM to take delivery with its own funds and later be reimbursed via the loan. 

Yulchon

Yulchon secures its place in the Outstanding band for competition, dispute resolution, M&A, private equity and tax this year. Its famed dispute resolution practice has more than 250 professionals and keeps apace with an evolving market, creating new disputes practice areas that are novel and innovative.

Work highlights 

Acted as the domestic legal counsel for Webtoon Entertainment, a US subsidiary of Naver, on its IPO on the Nasdaq. This IPO held significant meaning because a securities registration statement had to be filed in Korea in accordance with the Financial Investment Services and Capital Markets Act, even though the case involved a foreign company listing on a foreign stock exchange. 

Advised HD Hyundai Marine Solution on its IPO on the KRX. The offering consisted of a total of 8,900,000 shares of common stock of HD Hyundai Marine Solution, including 4,450,000 shares newly issued by HD Hyundai Marine Solution and 4,450,000 shares offered by the selling shareholder.

Successfully represented a client in the bus manufacturing industry in the Supreme Court, securing a suspension of execution on a W3 billion enforcement penalty imposed by the Labor Relations Commission. The penalty, stemming from employee dismissals during corporate liquidation, was challenged as excessive and lacking legal basis. This landmark case is significant as suspensions of Labor Relations Commission penalties are rarely granted, setting an important precedent in Korean labour law and providing crucial financial relief for the client during its management crisis.

Represented Sampyo Cement as the legal counsel in a lawsuit seeking the cancellation of corporate income tax assessment worth around W20 billion ($15.3 million), overturning the lower court's decision and leading to a favourable decision. 

Represented a Korean taxpayer as claimant in the first-ever Korea–Saudi Arabia mutual agreement procedure, securing the cancellation of a Saudi withholding-tax assessment on engineering income and eliminating double taxation under the Korea–Saudi Arabia tax treaty.

Advised Shinhan Card on the reversion of refunded value-added tax in relation to sales allowance.

Represented Taesung Steel in a lawsuit to set aside the imposition of an anti-dumping tariff. This case is significant, both as a high-value issue of over W10 billion and as a case related to anti-dumping tariffs, which represents a specialised area within the customs field. Moreover, the outcome of this case is likely to have broader implications for future cases, as it will establish a precedent on the role and significance of the investigation process that must precede imposition of anti-dumping duties.

Advised Rolex Korea on a $1.4 million tax litigation case to set aside a disposition imposing corporate tax on transfer pricing transactions. This matter is expected to provide a more precise interpretation on the appropriateness of an integrated evaluation of individual transactions, which often causes issues during tax audits on domestic multinational companies.

Yulchon secures its place in the Outstanding band for competition, dispute resolution, M&A, private equity and tax this year. Its famed dispute resolution practice has more than 250 professionals and keeps apace with an evolving market, creating new disputes practice areas that are novel and innovative.  

The firm has strategically bolstered its team through key hires across various practice areas. The competition/antitrust practice has been particularly active in recruitment, welcoming Genny S Kim from Jipyong as a partner. However, the practice also saw the departures of Hyo Sung Kim in June 2024.
