Work highlights

Advised J&T Express in a merger control filing for its acquisition of Fengwang from SF Express with a special time constraint connected with the IPO in Hong Kong that J&T Express was initiating at the same time.

Advised one of the world’s top three international pharmaceutical and biotechnology companies to acquire actual control of the Chinese joint venture.

Capital markets

Work highlights

Acted as lead counsel for J&T Express on its precedent-setting IPO on the HKEX. The most innovative aspect was listing in Hong Kong but with a variable interest entity structure following the new requirements set by the China Securities Regulatory Commission (CSRC) on March 31, 2023. J&T Express is the first company listing in Hong Kong to successfully satisfy those requirements and obtain the CSRC’s blessing.

Advised a SPAC in its merger and listing in the US with an international hotel business.

Competition/antitrust

Work highlights

Acted as Nvidia’s monitoring trustee for antitrust compliance. This matter arose amid a new chapter in the chip race between the US and China and will directly affect the situation of the chip competition between the countries.

Advised the PRC merger control filing for a Japanese trading house’s investment in the world’s biggest shrimp farm.
