Founded in 1992, Haiwen & Partners is experienced in cross-border securities, M&A transactions, private equity, and general corporate and commercial dispute resolution. Media and entertainment is one of the firm’s key industry sectors. It is often involved in the development of film and television projects, formation of production and financing vehicles, and other new media matters. The firm currently has more than 400 lawyers and paralegals in total working at its Beijing, Chengdu, Haikou, Hong Kong, Shanghai and Shenzhen offices. Beijing-based partner Yu Cao is a reputable entertainment lawyer. On top of his profound understanding of the media industry, he is also experienced in general corporate and finance transactions. Advised Huaneng Gongrong No. 1 (Tianjin) Equity Investment Fund Partnership in its subscription of around 48% equity interests by way of cash injection in five project companies of Huaneng New Energy Company.

Advised Liangxi Science and Technology Innovation Fund in conducting legal due diligence on Beijing Hillhouse Fund, reviewing and revising investment documents.

Advised Bain Capital in acquiring a significant share of EcoCeres’s equity interest.

Corporate and M&A

Work highlights

Advised Air China in acquiring control of Shandong Airlines and completing implementation of the tender offer. This deal is one of the most influential and high-profile M&A projects in the aviation and shipping industry in recent years.

Advised PAG in acquiring the entire equity interest in Changzhou Hengxuan for approximately $189 million (Rmb1.37 billion) in cash from a wholly owned Hong Kong subsidiary of Seazen Group and procured Changzhou Hengxuan to repay a loan of approximately $118 million (Rmb856 million) to an affiliate of Seazen Group.

Work highlights

Advised China Mobile Communications Group in subscribing to the non-public issuance of A-shares by Postal Savings Bank of China, with a trading amount of $6.2 billion (Rmb45 billion).

Advised Beijing Enterprises Holdings successfully in registering a $2.8 billion (Rmb20 billion) debt financing instrument with the National Association of Financial Market Institutional Investors.

Acted as the underwriter's legal adviser, participated in the entire process of the third largest A-share IPO as of 2023 and provided professional advice and solutions on Chinese legal issues.
